ITALKBB 2020 VIRTUAL MUSIC TALENT
CONTEST OFFICIAL RULES
ALL FEDERAL, STATE, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY.
1. ELIGIBILITY. The iTalkBB 2020 Virtual Music Talent Contest (the “Contest”) is open to individuals who (a) are a legal resident of and located in the fifty (50) United States of America or the District of Columbia;(b) are at least eighteen (18) years old or the age of majority in their jurisdiction of residence, whichever is older;and (c) have agreed to these Official Rules. Each eligible individual who enters this Contest will be referred to in these Official Rules as a “Participant”, each individual featured in the submitted video will be referred to as a “Performer”. All Performers must be a legal resident of and located in the fifty (50) United States of America or the District of Columbia.Only one (1) entry per individual and only one (1) entry per featured Performer. For clarity, no person may appear in more than one (1) entry.
The parent or legal guardian of a minor between the ages of three (3) and seventeen (17) may enter by submitting a video showcasing the minor’s talent, but the parent or legal guardian will be considered the Participant and may only submit one (1) Talent Video (defined below). Where a parent or legal guardian is the Participant, the Performer must consent to entry of the Talent Video and agree to these Official Rules. Sponsor may email all Performers who are minors to confirm their agreement with these Rules and consent to entry of the Talent Video.
To enter a Talent Video that features more than one (1) Performer (“Group Performance”), the Performers shall select one (1) individual to represent the Group Performance and to submit the Entry in his or her name (the “Group Performance Entrant”) but must include the email addresses and names of all other Group Performance members in the Entry Form. All Group Performance members must consent to entry of the Talent Video and agree to these Official Rules. Sponsor will email all Group Performance members following submission of the Entry Forms to confirm each member agrees to these Rules and consents to entry of the Talent Video. Failure by any member of a Group Performance to complete registration and provide their electronic signature within the timeline provided by Sponsor, or to otherwise comply with these Official Rules, will void the entire Group Performance entry. Disqualification of one or more Performers in a Group Performance entry will void the entire Group Performance entry. Sponsor may contact Group Performance members by email in connection with this Contest. In the event a Group Performance wins a prize, the Group Performance Entrant shall be deemed the sole winner of the prize and shall be awarded such prize as an individual. Group Performances that feature minors between the ages of three (3) and seventeen (17) may only be submitted by the parent or guardian of the minors.
Any employee of Sponsor, Yamaha, or any of the Selection Committee (defined below), and the immediate family members and household members of such entities, or any person involved in the development, promotion, marketing, advertising, administration, or judging of this Contest is not eligible to enter, vote, perform, or to win any prize. For purposes of this Contest, “immediate family members” means parent, child, sibling, grandparent, or grandchild.
2. HOW TO ENTER. Participants may enter the Contest between 12:01 a.m. Eastern Standard Time (EST) on November 6, 2020 and 11:59 p.m. EST on December 31, 2020 (the “Contest Period”). To enter the Contest during the Contest Period, a prospective Participant must do all of the following (together the “Entry Forms”):
(i) go to https://page.italkbbtv.com/event/virtual_talent_show_2020/form.html (the “Participant Information Page”) and provide the required information including the Name, Phone Number, email address and Date of Birth for Participant and each Performer as well as information about the Performance. All Participants must agree to the Official Rules.
(ii) After completing the Participant Information Page, Participants will receive an email with instructions for confirming the music selection and providing information on how to submit video showcasing the musical talent of Performer(s) (the “Talent Video”) via email.
(iii) Sponsor may reach out to request, among other things, (i) additional information regarding Performers in a Group Performance, including but not limited to having all Performers in a Group Performance sign documentation agreeing to the terms of these Official Rules, and (ii) information about the work being performed in the Talent Video.
Participants must provide accurate, complete, and truthful information on the Entry Forms and any subsequent information requested by Sponsor as related to this Contest. In case of a dispute as to the owner of an Entry Forms, an individual entry will be deemed to have been submitted by the authorized account holder of the e-mail address provided on the Entry Forms. The “authorized account holder” is the natural person assigned an e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. A selected Participant may be required to provide Sponsor with proof that he/she is the authorized account holder of the e-mail address submitted in the Entry Forms. Sponsor may not acknowledge receipt of an Entry Forms or User Submission (defined below) and all Entry Forms become the property of Sponsor and will not be returned.
The clock on Sponsor’s computer used for the Contest will be the official clock for the Contest. Sponsor is not responsible for lost, late, incomplete, invalid, illegible, or misdirected Entry Forms or User Submissions, which will be disqualified; for technical failures of any kind, including, but not limited to, electronic malfunctioning of any network, hardware or software; any failed, incomplete, garbled, or delayed computer transmissions or any combination thereof; or for any error, human, technical, or otherwise.
Participants agree that all Talent Videos or other materials submitted to Sponsor at any point during the Contest (“User Submissions”) must meet the following requirements:

• Talent Videos must showcase a musical talent—singing, dancing or playing a musical instrument.
• The music performed in Talent Videos must be (i) a completely original work of the Performer, (ii) public domain material that is clearly identified as such in the User Submission, or (iii) chosen from the list of approved songs for this Contest, which are listed at https://www.italkbbtv.com/event/virtual_talent_show_2020/faq.html. TALENT VIDEOS THAT CONTAIN MUSICAL WORKS THAT DO NOT FALL WITHIN THESE CATEGORIES WILL BE DISQUALIFIED.
• Music in Submissions must be performed live, and use of pre-recorded music in Submissions (e.g., dancing or singing along to a CD) is prohibited. TALENT VIDEOS THAT CONTAIN PRE-RECORDED MUSIC WILL BE DISQUALIFIED.
• Talent Videos should be 3-5 minutes in length but must not be longer than 10 minutes. Length of video will not be considered in judging unless video is longer than 10 minutes, in which case it will be disqualified.
• Talent Videos must be made with horizontal screen and picture quality must be 720P or greater, 1080P is recommended.
• Talent Video frame must be 16:9 and formats must be .mp4, .mov, .flv, or .m4v.
• Talent Videos should be bright with a plain background and stable lens and at least one-third of the portrait should be in the picture.
• Talent Videos should have clear audio with no background noise.
• No post-editing production of the sound is permitted in Talent Videos.
• Multi-angle shooting is allowed in Talent Videos, but it must be a clear, accurate, and direct portrayal of the Performer’s performance
• User Submissions must be under no restriction, contractual or otherwise, that will prevent Sponsor’s use of the User Submissions as contemplated in these Rules and each and every aspect of the User Submissions must be free of any and all liens, encumbrances, and claims of third parties.
• User Submission must be appropriate for viewers of all ages. User Submissions may not contain unsafe behavior or situations, alcohol or tobacco use, weapons, profanity, nudity, pornographic images or explicit sexual themes, graphic violence, defamatory or libelous statements, false or misleading advertising, or any other material considered illegal or inappropriate. User Submissions containing any such aspects and/or that are in violation of a law, that are not responsive to or appropriate for the Contest, or otherwise deemed by Sponsor, in its sole discretion, to be prejudicial to Sponsor or inappropriate in any way, may be disqualified. User Submissions suspected or determined, in Sponsor’s sole discretion, to infringe on any intellectual property rights (including but not limited to trademarks, copyrights, or rights of publicity), or other rights, may be disqualified.
• Participant acknowledges, agrees, and warrants that the User Submissions do not infringe on any copyrights, patents, confidential information, trade secrets, trademarks, or proprietary, industrial, or other rights belonging to any person or entity other than the Participant, or violate any person’s rights of privacy or publicity or violate any law, rule, statute, or order of any jurisdiction, and that the information Participant and Performer(s) submit with an entry will be accurate, truthful, and not misleading (including without limitation information submitted about the Participant, the Performer(s), and/or the music in the User Submission).
• Only Participant and/or Performer(s) who have agreed in writing by electronic signature to participate in this Contest and to these Official Rules may appear in the Talent Video.
• Participant may not contravene federal, state, or local safety guidelines regarding COVID-19 in creating the Talent Video and should not promote unsafe or unhealthy practices.
• User Submissions previously submitted in other contests are not eligible for entry in this Contest.
Sponsor may in its sole and absolution discretion disqualify any Participant or Performer that is responsible for submitting a User Submission that Sponsor deems to violate these requirements or the Official Rules at any time, and not post or take down any Talent Video that violates these requirements or these Official Rules. Sponsor may also, in its sole discretion, disqualify any Participant that engages in behavior that is disparaging or derogatory of Sponsor, Yamaha, members of the Selection Committee, or any other Participant or that is deemed unsportsmanlike by Sponsor. The Entry will be refunded in case of disqualification. Each Participant further agrees to indemnify and hold harmless the Sponsor Entities, as defined below, and each of their respective employees, officers, directors, and agents from and against any claims, lawsuits, liabilities, and expenses (including attorney’s fees) arising out of the use of their User Submissions or their participation in the Contest. Sponsor reserves the right in its sole discretion to remove Talent Videos from its website in the event that it receives a DMCA takedown request or claims of infringement are alleged, or if Sponsor reasonably suspects infringement.
3. NO CONFIDENTIALITY. Participants agree and acknowledge that their User Submissions, and participation in the Contest will be not be treated as confidential and may be made available to the public, including, but not limited to, posting on the Internet. Sponsor does not guarantee any confidentiality with respect to any User Submission.
4. THE PROCESS.
A. Public Voting Period. On or around February 1, 2021, Sponsor will post all Talent Videos that comply with these Official Rules on its website at https://www.italkbbtv.com/north-america. Public voting will be available between 12:01 a.m. EST February 1, 2021 and 11:59 p.m. EST on February 14, 2021 (the “Public Voting Period”). Members of the public who are legal residents of and located in the fifty (50) United States of America or the District of Columbia, and who are at least eighteen (18) years old or the age of majority in their jurisdiction of residence, whichever is older, can cast votes on the iTalkBB website at https://www.italkbbtv.com/north-americaor through the iTalkBB mobile application (download for free at www.italkbbtv.com/download/click) (“Voters”). Voters may vote for their favorite videos up to one (1) time. Voters should vote based on the following criteria: (1) Wow! Factor (50%) and (2) creativity (50%), taking into consideration the age of the Performer. If Voters are trying to decide between two entries, where all these factors are equal, Voters should vote for the entry that has the strongest “Wow! Factor” because that criteria should matter most in the event of a tie. The twenty (20) Talent Videos that receive the most votes during the Public Voting Period will be the “Finalists”. In the event of a tie, the tie will be broken by the Selection Committee based on the Talent Video that scores the highest in the “Wow! Factor” criteria.
The following voting conduct is prohibited, any votes associated with such conduct may be voided, and any individual participating in such conduct may be banned from voting:
• Any attempt by any individual to vote by using multiple/different email addresses, accounts, identities, registrations and logins, or any other methods to vote;
• Voting on behalf of or by proxy for any other person;
• Use of any automated system to vote or subvert the voting process;
• Votes generated by script, macro or other automated means or any other means intended to impact the integrity of the voting process, as determined by the Sponsor in its sole discretion; and
• Votes obtained by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, payment for votes or offering to trade votes, as determined by Sponsor, in its sole discretion.
Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected votes, which will be disqualified. Sponsor will not be responsible for the failure to receive votes due to transmission failures or technical failures of any kind. Sponsor also will not be responsible if a visitor to the website is unable to submit votes. If Sponsor suspects or receives notice of violation of the voting terms, cheating or other vote manipulation or voting fraud by any party including any Entrant or Performer or voter, Sponsor may take action to ensure that the Contest is run fairly, including by invalidating votes during or at the end of the Public Voting Period, disqualifying the recipient of the vote(s), banning an individual from further voting, suspending public voting, or making adjustments to the voting process. The decision of the Sponsor is final.
B. Final Round. On or around March 1, 2021, a panel of judges selected by Sponsor (the “Selection Committee”), will select three (3) Professional Jury Award winners and One (1) People’s Choice Award Winner from among the twenty (20) Finalists using the following criteria, taking into account the age of the performer in applying these criteria:

Judges scores- 80%
• Artistic Performance - Judged by all members of Selection Committee: (1) the overall aesthetic of performance (20 points); (2) stage presence (20 points); and (3) uniqueness of performance (10 points).
• Professionalism - Judged by subject matter experts on Selection Committee: (1) difficulty of performance (20 points); and (2) technical execution (30 points).
Public Appeal- 20%
• As demonstrated through the public voting results
The Finalist with the highest score will be the potential First Prize Winner of the Professional Jury Awards, the Finalist with the second highest score will be the potential Second Prize Winner of the Professional Jury Awards, and the Finalist with the third highest score will be the potential Third Prize Winner of the Professional Jury Awards (the “Professional Jury Awards Winners”). In the event of a tie, the highest score in the “stage presence” category will be used to break the tie.
People’s Choice Awards
Judges scores- 60%
• Artistic Performance - Judged by all members of Selection Committee: (1) the overall aesthetic of performance (20 points); (2) stage presence (20 points); and (3) uniqueness of performance (10 points).
• Professionalism - Judged by subject matter experts on Selection Committee: (1) difficulty of performance (20 points); and (2) technical execution (30 points).
Public Appeal- 40%
• As demonstrated through the public voting results
Excluding the first, second and third place winners of the Professional Jury Awards, the Finalist with the highest score in this round will be the potential First Prize Winner of the People’s Choice Awards. In the event of a tie in this round, the highest score in the “stage presence” category will be used to break the tie.
The odds of winning depend on the relative skill of the Performers.
5. PRIZES.
TO COMPETE FOR THESE PRIZES, YOU MUST HAVE SUBMITTED A TALENT VIDEO.
Professional Jury Awards
• First Prize. One (1) First Prize Winner of the Professional Jury Awards will receive a Yamaha Clavinova CLP-775 Digital Piano. The Approximate Retail Value (ARV) is Five Thousand Nine Hundred Ninety-Nine United States Dollars ($5,999 USD).
• Second Prize. One (1) Second Prize Winner of the Professional Jury Awards will receive One Thousand United States Dollars (delivered via check).
• Third Prize. One (1) Third Prize Winner of the Professional Jury Awards will receive a Yamaha P-121 digital piano. The ARV is Eight Hundred Ninety-Nine United States Dollars ($899 USD).
People’s Choice Awards
• First Prize. One (1) First Prize Winner of the People’s Choice Awards will receive a Yamaha P-121 digital piano with bench, stand and pedal. The ARV is One Thousand Two Hundred Twenty-Seven United States Dollars ($1,227 USD).
Acknowledgement: All 20 Finalists will receive a physical award certificate (no value).
All decisions of the Selection Committee are final and binding on all Participants. The Prizes are not transferable, and no prize substitution is available. Prizes will be shipped to the home address of participant located within the United States. Prize Winners are solely responsible for paying and agree to indemnify and hold harmless Sponsor from and against, any and all applicable federal, state, and/or local taxes that may be imposed in connection with the Prize. Prize Winners are responsible for ensuring that compliance with all applicable tax laws and filing requirements with respect to the Prize. Any person winning $600 or more worth of prizes from Sponsor in a calendar year will receive an IRS form 1099 after the end of the calendar year in which the prizes were awarded and copy of such form will be filed with the Internal Revenue Service (IRS).
6. NOTIFICATION. Winners will be notified on or around March 1, 2021 by e-mail at the e-mail address provided by the Participant in registering for the Contest. The form and manner of notification is at Sponsor’s sole discretion. Participants are responsible for updating their contact information for purposes of Prize notification. If a Prize Winner notification or attempted notification is returned undeliverable, or if a Prize Winner does not respond to a notification within ten (10) days of the date of such notification, or refuses or declines the notice or the Prize, the Prize may be forfeited and may be awarded to the next highest scoring Participant using the appropriate criteria in Section 4. All Prize Winners (Participants) and Performers above the age of seven (7) will be required to execute and return to Sponsor an Affidavit of Eligibility and Publicity/Liability Release (except where prohibited by law) in such form as designated by Sponsor. If said document is not executed by a Prize Winner and Performer and received back by Sponsor within five (5) days of the date it is emailed to a Prize Winner, the Prize may be forfeited and an alternative Prize Winner selected in accordance with the appropriate criteria set forth in Section 4. All Prize Winners and Performers may be required to provide evidence of identity satisfactory to Sponsor in order to advance to the next round and/or claim and receive a Prize.
7. ACCEPTANCE OF OFFICIAL RULES AND CONSENT TO BE CONTACTED. As a condition to entering this Contest, participating in voting, and receipt of a Prize, each Participant, Performer, and voter must accept and agree to these Official Rules, which become a binding legal agreement between the Participant and Performer, on the one hand, and Sponsor, on the other, or between the voter and Sponsor. Therefore, please read these Official Rules prior to entry and participation to ensure you understand and agree to them. A Participant may not submit the Entry Forms or participate in the Contest and is not eligible to receive Prize described in these Official Rules, unless he/she and the Performer(s) agree to these Official Rules. A voter may not submit a vote in the Contest unless he/she agrees to these Official Rules. In addition, each Participant further consents to being contacted by Sponsor by e-mail, text message, mobile phone, regular phone, regular mail, or courier service with respect to the Contest. Finally, each Participant agrees that all decisions of the Sponsor relating to the Contest or these Official Rules shall be final and binding.
8. GRANT OF RIGHTS IN USER SUBMISSIONS. As a condition to entry into this Contest, except where prohibited by law, each Participant and Performer grants to the Sponsor and its parent, subsidiaries, affiliates, employees, licensees, successors, and assigns, as well as Yamaha, and members of the Selection Committee for the Contest (collectively the “Sponsor Entities”), a fully transferable, perpetual, irrevocable, and royalty-free worldwide license to reproduce, distribute, modify, publicly display, publicly perform, publish, and otherwise use the User Submissions, Talent Videos, and other recordings related to this Contest in any and all media and formats, whether now known or hereafter developed, and for any purpose, including without limitation: (a) any purpose relating to the Contest; (b) the marketing, advertising, and promotion of the Contest; and (c) the marketing, advertising, promotion, and development of Sponsor and Sponsor’s and its partners’ products and services. Said uses may include, but are not limited to, posting the Talent Videos on any internal or public external websites and the Internet, television, social media, transmitting the User Submissions and Talent Videos to the Selection Committee for evaluation of the Talent Videos, and loading and operating the Talent Videos on computers and mobile devices. Each Participant and Performer agrees, upon Sponsor's request, to do or perform all such actions and execute all such further documents and instruments as may be necessary or advisable in order to perfect or otherwise make the above license grant fully effective. Participants agree to and understand that User Submissions will be made available to the public, including, but not limited to, posting on the Internet. Participants agree not to grant a license in the Talent Videos to any competitor of Sponsor Entities.
9. RELEASE OF LIABILITY. By entering the Contest, and to the maximum extent permitted by law, each Participant and Performer agrees to and hereby releases all of the Sponsor Entities and any of their directors, officers, employees, and agents from any and all liability, losses, costs, damages, or injuries arising out of his/her participation in this Contest, with respect to the awarding, receipt, use and/or misuse of any Prize, or participation in all stages of the Contest, or any other Contest-related travel or other activity, including without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy.
10. PERSONAL INFORMATION. Any personally identifiable information, including, but not limited to, name, e-mail address, physical address, telephone, and mobile phone number (“Personal Information”) provided by a Participant hereunder will be collected by Sponsor. Such Personal Information may be used by Sponsor for the purposes of administering the Contest, contacting Participants during the Contest, and notifying and publicizing the Prize Winners and may be shared with partners.
11. PERMISSION TO USE NAME AND LIKENESS. By participating in the Contest, Participants, Performers and Prize Winners agree that their name, image, likeness, biography, city, and state may be used for any advertising and promotional purposes at Sponsor’s discretion in any and all media now known or hereinafter developed without territorial or time limitations, or right of approval, and for no additional compensation, except where prohibited or restricted by law.
12. WINfER’S LIST. The Prize Winners will be posted on the Contest Website after March 26, 2021.
13. GENERAL PROVISIONS.
• Travel to and from any activities associated or related to this Contest are the sole responsibility of the Participant.
• DISQUALIFICATION.SPONSOR RESERVES THE RIGHT TO DISQUALIFY ANY PARTICIPANT FOUND TAMPERING WITH THE ENTRY PROCESS OR WITH THE OPERATION OF THE CONTEST OR ENGAGING IN ANY FORM OF FRAUDULENT ACTIVITY OR UNSPORTSMANLIKE CONDUCT OR VIOLATING THESE OFFICIAL RULES. ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION OF SUCH PARTICIPANT. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
• No Employment Relationship. Under no circumstances shall the participation in this Contest, or the awarding of a Prize, or anything in these Official Rules be construed as an offer or contract of employment by Sponsor or the Sponsor Entities. Participant acknowledges that he/she is participating in the Contest and submitting any User Submissions voluntarily and not in confidence or in trust. Participants acknowledges that no confidential, fiduciary, agency, or other relationship or implied-in-fact contract now exists between Participant and Sponsor or the Sponsor Entities and that no such relationship is established by participation or any submission in the Contest.
• Disclaimers. PARTICIPANTS AGREE THAT THE CONTEST WEBSITE AND ANY PRIZES AWARDED ARE BEING PROVIDED “AS IS”, AND THAT THE SPONSOR ENTITIES MAKE NO WARRANTY, REPRESENTATION, OR GUARANTEE REGARDING THE CONTEST WEBSITE, ACTIVITIES, OR THE PRIZES, INCLUDING, BUT NOT LIMITED TO, THEIR QUALITY, CONDITION, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. THE SPONSOR ENTITIES SHALL NOT BE RESPONSIBLE FOR ANY DAMAGE CAUSED TO YOUR COMPUTER OR DATA, OR FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR OTHER DESTRUCTIVE CODE RESULTING FROM USE OF THE CONTEST WEBSITE OR ANY CONTENT OBTAINED FROM THE CONTEST WEBSITE.
• No Viruses. Participants agree to not upload, post, or transmit any materials which contain any computer viruses, or other harmful components or programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information.
• Cancellation. If for any reason this Contest, or any stage of the Contest, is not capable of being executed as planned due to pandemic, measures of any governmental authority, or anything outside Sponsor’s control, or if tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of Sponsor corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right, at its sole discretion, to disqualify any suspect Submission and to cancel, postpone, modify, extend the deadlines, or end the Contest at any time.
• Governing Law. All claims arising out of this Contest and all issues and questions concerning the construction, validity, interpretation, and enforceability of the Official Rules or the rights of Participants, shall be governed by and construed in accordance with the laws of the State of Texas and the United States of America, without regard to conflicts of law principles.
• LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTICIPANT HEREBY WAIVES ALL RIGHTS TO CLAIM PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.
